These Terms and Conditions (“Terms”) outline how we work with you and what you can expect when engaging Beyond Business Consultants (“we”, “us”, “our”). By accepting a proposal, paying an invoice, or requesting services, you (“you”, “the client”) agree to these Terms.
1. Definitions
In this agreement:
- Services mean virtual assistant services, including, but not limited to, administrative support, email management, client liaison, scheduling, event coordination, phone answering, and content creation.
- Agreement means these Terms and any proposal, package, or quote accepted by you.
- Confidential Information means all information shared between the parties that is not public knowledge, including client data, business information, and communications.
- Personnel includes our employees, contractors, or consultants who help deliver our services.
- GST has the same meaning as in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
- Price, remittance means the amount payable for our Services.
2. Commencement
(a) These Terms start from the date you accept them or pay your first invoice (the Start Date).
(b) Services will commence once payment has been received in full.
(c) No work will begin until payment is confirmed
(d) As discussed within our agreement
(e) When the access to systems is shared or collateral has been received
3. Our Services
(a) We provide professional virtual assistant and business support services as outlined in your chosen package or agreement.
(b) We may perform the Services either remotely or, if agreed, in person for local clients.
Travel costs may apply for any on-site work beyond 50km of our office.
(c) Any timelines or completion dates provided are estimates only.
(d) If additional work is required beyond the agreed scope, we’ll discuss it with you and confirm any changes to pricing before proceeding.
4. Your Responsibilities
To ensure our Services run smoothly:
(a) You agree to provide all required information, documents, and access needed for us to perform the Services.
(b) You are responsible for the accuracy and completeness of any information you provide.
(c) You agree to communicate respectfully and in good faith at all times.
(d) You must not share, copy, or use our materials, templates, or systems without written permission.
5. Payment Terms
(a) Services are billed either:
- Hourly, or
- In prepaid block/ hour packages.
(b) All packages and hourly work must be paid in full before any work begins.
(c) Payments can be made via bank transfer or any method specified on your invoice.
(d) GST is added to all applicable invoices.
(e) If additional hours are required, we’ll confirm and invoice those before continuing.
6. Cancellations and Rescheduling
(a) If you wish to cancel or pause ongoing Services, you must give at least 7 days’ written notice.
(b) Any outstanding invoices must be paid before cancellation takes effect.
(c) If less than 7 days’ notice is provided, a fee equal to one week of Services (based on your current rate) may/will apply.
(d) We may reschedule or adjust Services with reasonable notice if required due to illness, emergencies, or other unforeseen circumstances.
(e) In the event that you fail to delegate tasks, we will make every reasonable attempt to contact you via telephone, email, or text message. To maintain the reservation of your selected time slot for your designated work, a minimum fee equivalent to one hour per week or day will be subtracted from your advance payment.
- Confidentiality
(a) Both parties agree to keep all confidential and sensitive information private.
(b) We will never share your business information, client data, or communications without your consent, unless required by law.
8. Intellectual Property
(a) All materials, systems, and templates created by us remain our property.
(b) You are granted a licence to use any deliverables provided as part of the Services for your own business use only.
(c) The copying, resale, or distribution of our materials is strictly prohibited unless authorized by us in writing.
(d) To ensure you retain access to documents created during our engagement, please make copies for your own private records upon the conclusion of our services. We will maintain custody of these created goods for at least 6 months.
9. Liability
(a) We take care to provide our Services professionally and accurately, but we can’t guarantee specific outcomes.
(b) To the extent permitted by law, our total liability for any claim is limited to the amount you have paid for the Services related to that claim.
(c) We are not responsible for any indirect loss, data loss, or loss of profits arising from the use of our Services.
(d) You agree to indemnify us against any loss or claim arising from your use or misuse of our Services.
10. Termination
This Agreement may be ended:
(a) By either party, with mutual written agreement;
(b) By us, if you breach these Terms and don’t remedy it within 5 business days; or
(c) By you, if we breach a material term and don’t remedy it within 15 business days of being notified.
Upon termination:
- You must pay for all Services delivered up to the termination date.
- Any materials or confidential information belonging to us must be returned or deleted.
11. Disputes
If a dispute arises, both parties agree to first attempt to resolve it in good faith through discussion before taking legal action.
12. Governing Law
These Terms are governed by the laws of Queensland, Australia, and both parties agree to submit to the jurisdiction of its courts.
13. Updates to Terms
We may update these Terms from time to time. The latest version will always be available upon request or on our website.
